IR35

UK HMRC IR35 LEGISLATION FOR PRIVATE COMPANIES FROM APRIL 2020.

This information is intended for hiring organisations who will be impacted as a result of the off-payroll working rules (IR35 reform) in effect as of April 2020. It is provided for general information and use only and it is not intended to amount to advice on which you rely.

Newly introduced legislation for the UK requires, that in relation to private sector contractor services, the client (fee payer) is responsible for deducting tax and N.I. contributions ‘at source’ if the contract is deemed inside IR35.

This new legislative requirement is intended to help combat misclassification of status due to non-compliant blanket or role-based assessments. Crucially, the draft amendments clarify that the requirement for an SDS is not met if the client fails to take ‘reasonable care’ in arriving at its decision. Should this be the case, the client assumes the position of ‘fee-payer’ which would typically be held by a recruitment agency.

As the fee-payer, the client assumes liability for any tax deemed unpaid as a result of the engagement. They also assume responsibility for reporting and deducting tax from payments made to contractors. Consequently, for hiring organisations, providing a valid and accurate status determination statement is essential to meet their statutory obligations and mitigate any financial risk.

The Off-Payroll rules require the end client to supply a Status Determination Statement as part of their duty of “reasonable care”.

An SDS should be completed by the relevant person(s) and subsequently provided to the relevant parties for each new PSC engagement and existing PSC engagement who will, or is expected to, receive a payment on or after 6th April 2020.

According to the draft legislation published on 11th July 2019, the statement must include:

  • The status decision made on the engagement
  • The reasons which led to this decision

The statement must be shared with both the contractor and the next party in the supply chain from the client (in most cases this would be the recruitment agency placing the contractor (the fee payer), however in more complicated supply chains, this may be a different party who will be obliged to pass on the statement until it reaches the fee payer).

Note:

  • An IR35 ‘status determination statement’ (SDS) should be provided when assessing the IR35 status of contractors, before a contract begins.
  • Fluid (Fford & Stone International Ltd) always recommend you consult with your legal teams and/or a specialist review service prior to supplying a Status Determination Statement.
  • This determination can be produced using HMRC’s CEST Tool / an independent status review service / in-house expertise.
